Job Description Summary

This position will provide primary legal support for the following areas of HomeStreet Inc.

(the “Company”) HomeStreet Bank (the “Bank”) and their subsidiaries: Credit Administration; Commercial Real Estate Lending; Commercial Lending (including Agricultural, SBA, C&I, and ABL Loans); Residential Construction Lending (Builder-Developer); Single Family Lending (origination and servicing); Retail Banking, Consumer Lending, and Deposit Operations; Corporate Compliance ; Corporate Real Estate (including commercial leasing and facilities issues); Special Credits (including workouts, troubled loan management, OREO, and collateral dispositions); Vendor Management; Litigation management; Marketing and IP.

Job Details

Primary Functions:

  • This position will provide legal support for the credit risk management function of the Bank, from loan origination through collection and/or management and disposition of problem credits and problem assets (“special assets) and real estate owned (“REO”).
  • This position will help develop and maintain legal procedures, processes, and documentation (including the development of form documents where appropriate) to ensure that there is appropriate, timely, and cost effective legal input into the credit risk management, lending, and operations functions.
  • Directly or through oversight of and in conjunction with outside counsel, this position will:
    • advise with respect to the origination and servicing of commercial and consumer loans.
    • advise on operational issues arising in the supported business units.
    • review and analyze loan documentation on problem loans and advise credit administration staff on the legal aspects of strategic options relative to the borrower, the collateral, and other sources of repayment, including guarantor rights, priorities and the ability to collect on deficiencies;
    • advise the Bank in connection with workout negotiations with borrowers;
    • assess and advise the Bank of its legal rights and obligations in connection with relationships with participant lenders;
    • advise the Bank in the context of bankruptcy and receivership proceedings and other enforcement proceedings involving borrowers and guarantors; and
    • provide legal support and advice in connection with the process of acquiring, managing and disposing of REO.
  • This position will monitor and manage outside counsel relationships (in its area of responsibility) and fees to ensure that the Company and the Bank are receiving cost effective and high quality service from outside counsel resources.
  • This position will investigate and handle basic bank litigation matters, maintain the Company’s litigation reporting and oversee outside litigation counsel in matters that are not extraordinary litigation matters.
  • This position will also provide support for the marketing, corporate insurance, vendor management and oversight of outside Intellectual Property counsel,

Qualifications:

  • For Credit Administration and Litigation Counsel, a minimum of 10 years relevant legal experience, and for Assistant General Counsel, a minimum of 15 years of relevant legal experience, in private practice and/or as in-house counsel:
  • Hands on and “first chair” experience in providing legal support and advice to financial institutions in connection with the essential functions outlined above, in the context of consumer and commercial real estate loans and business loans, including complex real estate development and construction loans.
  • Current and in depth knowledge of statutes, regulations, and case law applicable to the essential functions of this position.
  • Licensed to practice law in the state of Washington required.

    Licensed to practice law in other states in which the Company and the Bank do business also preferred, including Oregon, California, and Hawaii.

  • In addition to the above, this position requires the attorney to:
    • Be a self-starter, with initiative and self-motivation to identify and take charge of issues as they arise.
    • Have the ability to work effectively and efficiently under pressure and meet deadlines, while maintaining customer service focus and positive attitude.

      This requires excellent organizational and multi-tasking skills, including ability to juggle and prioritize competing demands and responsibilities, and ability to simultaneously manage many projects, ranging from small to large, and simple to complex.

    • Have unquestionable integrity and demonstrated ability to maintain confidentiality in handling sensitive and confidential information.
    • Combine high quality legal advice with a strong dose of common sense and an understanding of business realities and practicalities.
    • Have both the ability and desire to work with others in a teamwork environment and the ability and desire to work independently as appropriate to the particular project.
    • Have excellent communication skills, including listening, speaking and writing, and ability to effectively translate and communicate legal principles into understandable and practical terms.

      This may include training or educational sessions for Bank management and staff.

Mental and Physical Considerations:

  • Able to operate a Personal Computer and view information on a monitor.
  • Must be able to sit for many hours each day.
  • Must be able to communicate via telephone and possess dexterity to include filing document, reaching and bending.
  • May be required to stand for extended periods of time.
  • Ability to lift or carry up to 10 pounds
  • Ability to speak and understand English and express ideas and have difficult conversation in person and over the telephone
  • Ability to listen and comprehend speech.
  • Ability to problem solve, make decisions, interpret data and information, read, write and organize information in an orderly manner.
  • Willing and able to travel occasionally as needed.

Work Environment:

  • Normal business office environment.
  • Ability to work in artificial light for extended periods of time
