Overview:The Senior Paralegal is responsible for assisting with corporate governance matters for APCO Holdings and all companies within its corporate structure APCO including maintaining corporate record books, documentation, and information.
Skills in contract review and statutory interpretation will be essential from day 1.
The person in this role will also assist with the maintenance of on-going regulatory compliance initiatives for the Company’s vehicle service contracts, guaranteed asset protection (GAP) waivers and related products and services across a 50-state footprint.
The Senior Paralegal will aid legal and compliance team members as they meet a complex variety of corporate and regulatory compliance reporting and filing obligations as well as provide support and guidance to the VP-Legal Counsel and the Director of Regulatory Affairs on corporate and compliance related issues.Responsibilities:Contracts: drafting, reviewing, executing, and renewing contracts for the company following all corporate guidelines.Support the Director of Regulatory Affairs in handling a broad range of corporate and compliance matters including general corporate issues, document and contract drafting, and high-quality research.Assist with the organization and maintenance of information regarding the Company’s on-going corporate governance, including corporate books, officer information, and board minutes.
Manage preparation and distribution of nationwide notifications regarding corporate changes to applicable entities.Research, analyze and monitor pending legislation and regulations in the industry by attending industry trade group conference calls and reviewing all trade group and vendor communications to determine the impact of new or impending developments on Company Products, processes, or procedures.
Communicate applicable changes to affected departments and executives within the Company.Assist with the development of Company Product form designs from inception, including drafting and revising contract terms and conditions.Respond to regulatory agency and lender contract or licensing objections in accordance with established policies and procedures and review and revise objectionable contract language as necessary.
Provide support to internal departments regarding legal and compliance related queries.Maintain a positive working relationship with all internal parties as well as external third parties.Cross-train on other areas of responsibility within the Legal and Compliance team and assist team members as necessary.Requirements:A writing sample is required to be considered for this position.

Bachelor’s Degree is preferred.Paralegal certificate preferred.Five years of experience as a paralegal focusing on contract review and drafting in an office environment required.Proficient knowledge and practice experience in regulatory compliance related to insurance, automobile sales and/or other regulated industry preferred.Experience with or knowledge of automobile dealership F process and/or products preferred.Qualifications:To perform this job successfully, an individual must be able to perform each essential duty satisfactorily.
