Legal Counsel

GHD North America has an opportunity for an In-house Counsel position (United States), operating out of GHD’s Phoenix, Arizona situate office or one of GHD’s other US hub offices located in Houston, Texas, Chicago, Illinois, or Syracuse, New York, reporting directly to GHD’s Senior Counsel, US.  The successful applicant will join a dynamic and collaborative 20 person North American Legal, Risk & Compliance Team and provide support to an entrepreneurial 3,500 person strong North American business.

As part of the Legal, Risk & Compliance Team in the role of Counsel, US, the successful candidate will be responsible for the following duties:

• Supporting GHD’s US professional engineering business through all manner of risk allocation and risk management advice;
• Providing dedicated legal and risk support for GHD’s emerging digital engineering business, including development and curation of digital-specific client and subconsultant agreements, which includes master licensing agreements, services agreements, Saas agreements, data privacy terms, and related compliance matters such as data privacy and cybersecurity;
• Undertaking general contract review, negotiation, interpretation, and dispute resolution;
• Providing research and advice on a wide variety of matters impacting GHD, including conflicts of interest, federal contracting, and licensing concerns;
• Assisting in corporate transactions, corporate governance, and intellectual property matters; and
• Other duties as assigned.

The successful candidate will possess the following desired qualifications, experience, skills, and attributes:

• Between 3-5 years of experience gained in a law firm or company legal department;
• Experience and active interest in transactions related to the digital/emerging technology sphere (including SaaS agreements, licensing agreements, data protection and privacy, and intellectual property);
• Significant experience in commercial transactional matters, with a preferred focus on construction/design professionals;
• Superior drafting, analytical, organization, time management, and task prioritization skills;
• Excellent communication skills with the ability to interact effectively and efficiently with members of GHD’s Legal, Risk & Compliance Team, internal clients, and clients’ in-house and external counsel;
• Demonstrated problem-solving, negotiation, drafting, and conflict resolution skills;
• Self-starter, creative, a team player, good judgment, and possess the ability to work with limited direction;
• Highly responsive and service-oriented attitude;
• Law degree from accredited law school;
• Must be qualified to practice law in the United States;
• Ability to engage in some limited travel as needed (amount varies from infrequent up to 5%).
