We are seeking researchers, part-time and full-time, and project based associates!.

While the newest associates at the Dilendorf Law Firm are quickly immersed in all aspects of corporate law, there will be a specific focus on the fastest growing segment of our practice: cryptocurrency and blockchain technology.

This practice includes digital security offerings, blockchain litigation, money transmission regulations, regulations of decentralized networks and Dapps, and many other legal aspects of cryptocurrency..

We are seeking energetic attorneys who are eager to learn more about cryptocurrency and blockchain to join the team.

You will provide research, legal advice, drive a variety of transactions, and counsel business teams on a variety of topics and issues.

This individual will work with many clients, as well with legal colleagues within the firm.

Experience working with clients on federal and state regulatory licenses and applications, compliance and enforcement matters, complex bank and money transmission regulatory issues, privacy, and cyber security is a plus..

Job Summary:.

The position will involve structuring and launching digital securities (STOs / DSOs), designing platform and consumer tokens, obtaining MTL licenses necessary to operate DLT projects.

The ideal candidate will have experience conducting due diligence, reviewing and advising on corporate governance matters, and handling estate and tax planning and tax issues as they pertain to corporate transactions.

The candidate will also have experience advising on business formation and entity selection; corporate, mergers and acquisitions; private equity and venture capital; and securities law matters.

Our clients are established businesses, blockchain and fintech startups, entrepreneurs, individual investors, real estate owners and operators, private funds and family offices.

This position is responsible for providing legal advice to our clients with a particular focus on corporate law, fin-tech and technology law matters, including technology transactions, cybersecurity, privacy, data agreements, contracts, and intellectual property matters..

Principal Accountabilities:.

Conduct legal research, prepare legal memoranda, and render legal counsel and advice to clients related to assigned areas of responsibility, including as related to crypto-currency, payments, and other fintech issues.

Drafting, reviewing, revising and negotiating general and complex technology agreements..

Knowledge and Experience:.

Completion of a Juris Doctor degree from an ABA-accredited law school, and licensed to practice law within one of the US States..
